Acceptance of these terms

These Terms of Use ("Terms") are a legal agreement between you and the Florida Digital Infrastructure and Security Alliance ("FDISA," "we," "us," or "our") governing your access to and use of this website and its content (the "Site"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

Who we are

FDISA is a Florida nonprofit corporation organized as a trade association and is in the process of seeking recognition under Section 501(c)(6) of the Internal Revenue Code. FDISA is a nonpartisan trade association. The Site is provided for informational and educational purposes about digital infrastructure in Florida.

Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Site. By using the Site, you represent that you meet this requirement and that any information you provide is accurate.

Permitted use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful, personal, and informational purposes. You agree not to:

  • Use the Site in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Site, its systems, or related networks;
  • Interfere with or disrupt the Site, introduce malware, or place an unreasonable load on our infrastructure;
  • Scrape, harvest, or collect data from the Site by automated means without our written permission;
  • Use the Site to transmit spam, harassing, defamatory, or unlawful content, or to impersonate any person or entity;
  • Copy, reproduce, or redistribute Site content except as permitted below.

Intellectual property

The Site and its content — including text, graphics, logos, the FDISA name and wordmark, and the selection and arrangement of content — are owned by FDISA or its licensors and are protected by intellectual property laws. Except for content you are expressly permitted to use, you may not reproduce, distribute, modify, or create derivative works without our prior written permission. All rights not expressly granted are reserved.

Submissions and communications

If you send us information through the contact form, email, or other means (a "Submission"), you represent that you have the right to do so and that the Submission is accurate and not unlawful. You grant us a non-exclusive, royalty-free license to use Submissions for the purpose of responding to you and operating the Site. Do not send us confidential or proprietary information you do not wish us to use, and do not send sensitive personal information.

No professional advice

Content on the Site is provided for general informational purposes only and does not constitute legal, financial, engineering, regulatory, or other professional advice. You should not act or refrain from acting on the basis of Site content without seeking appropriate professional advice. FDISA is a nonpartisan trade association and does not endorse any candidate for public office.

Third-party links and content

The Site may contain links to third-party websites and materials provided for convenience. We do not control and are not responsible for third-party content, products, or practices. Links do not imply endorsement, and your use of third-party sites is at your own risk and subject to their terms.

Disclaimer of warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that content is accurate, complete, or current. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

Limitation of liability

To the fullest extent permitted by law, FDISA and its officers, directors, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Site — even if we have been advised of the possibility of such damages. To the extent liability cannot be excluded, our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100).

Indemnification

You agree to indemnify, defend, and hold harmless FDISA and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your Submissions, or your violation of these Terms or applicable law.

Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to their personal jurisdiction and venue, except where prohibited by applicable law.

Changes to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and FDISA regarding the Site.
